TERMS AND CONDITIONS OF SUBMISSION

Must be 18 years of age or older to submit a video or photo. To enter: Visit www.countryforbusiness.com and follow the instructions online to complete the online entry form (first name, last name, email address and phone number) and upload a photo OR a video in which you depict “How do you represent Business Casual?”. There is no prize or compensation offered. By submitting a photo or video (“Submission”), you agree to the following Terms and Conditions:

All images must be digitally uploaded. No mailed or shipped Submission will be accepted. Photographs must be a .jpg format and videos must be in an .avi, .mov or .wmv format and may not exceed 2 MB in size. Deadline for Submission is September 30, 2008. Limit one original video or photo entry per person/email address per day. Your photo or video may be posted for public viewing on this Website, subject to our sole discretion. By submitting a photo or video, you represent that the photo or video and all elements contained therein (including any music in the video) are your original work or in the public domain and are free of any and all liens, encumbrances and claims of third parties. You acknowledge, agree and warrant that nothing in the photograph or video infringes on any copyrights, confidential information, trade secrets or trademarks belonging to any person or entity other than you, or defames, disparages or violates any person’s rights of privacy or publicity and that all necessary releases and permissions have been secured by you. You further represent that any individuals in the photo or video who are identifiable are over 18 and have consented to the use of their image and performance in the photo or video, the submission of the photo or video to us, and the use of the photo or video by us in any way we deem appropriate, including in any and all media, and that such individuals will sign all necessary documents confirming the granting of these rights, if required by us. Photos or videos must be suitable for publication in a public forum (as determined by Sponsor in its sole discretion), must not contain nudity, profanity, or threats of physical violence, and must not reflect negatively on us or our services. Photos and videos submitted become the exclusive property of Sponsor and its affiliates and will not be acknowledged or returned. Sponsor has the right to remove any submission if it determines in its sole discretion that any of the Terms and Conditions are not met. Your photo or video submission shall not be subject to any obligation of confidence on our part and we shall not be liable for any use, alteration or disclosure of your photo, video, Submission or Submission information. You acknowledge that, by acceptance of your Submission, we do not waive any rights to use similar or related ideas previously known to Sponsor, or developed by our employees, or obtained from sources other than you.

Sponsor and its affiliates are not responsible for any expenses incurred in the production or submission of any photographs or videos. Sponsor and its affiliates are not responsible for lost, late, incomplete, invalid, illegible or misdirected Submissions; for technical failures of any kind, including, but not limited to, electronic malfunctioning of the Website or any network, hardware or software; for any failed, incomplete, garbled or delayed transmissions or any combination thereof; for any theft or destruction or unauthorized access to, or alteration of Submissions; for any error, human, technical or otherwise; for any problems or technical malfunction of any telephone or network lines, computer equipment, servers, providers, computer on-line systems, software, or failure of email on account of technical problems or traffic congestion on the Internet or Website; or for any injury or damage to your or any other person’s computer related to or resulting from participating in, submitting or accessing or downloading information in connection with a Submission or this Promotion. Sponsor reserves the right at its sole discretion to modify, cancel or suspend this Promotion for any reason whatsoever including, but not limited to, a computer virus, bug or other cause beyond the control of Sponsor.

By submitting a photo or video, you unconditionally assign and transfer to Sponsor and its affiliates for zero compensation all rights, title, interest and claims in the photo or video, including, without limitation, the copyright therein, and waive any and all rights, including moral rights in the photo or video. We shall have right to post, use, broadcast, display, publicly perform, alter, edit, assign, or dispose of your photo or video, in whole or in part (including clips or still frames from videos), however we see fit in any and all media without limitation as to time or territory without your approval and without compensation to you. As a condition of submitting a photo or video, you also grant Sponsor and its affiliates the right to use your name, image, likeness, personal information and biographical materials for advertising, publicity and promotion purposes including, without limitation, online announcements without additional compensation.

In no event will Sponsor or its affiliates or their respective directors, officers, employees, agents and representatives be responsible or liable for any damages or losses of any kind, including direct, indirect, incidental, consequential or punitive damages arising out of your access to and use of the Website, or the downloading, uploading or printing of a Submission or other material from such Website. Without limiting the foregoing, everything on the Website is provided “as is” without warranty of any kind, either express or implied. Some jurisdictions may not allow a limitation of liability, so check your local laws for any restrictions regarding these limitations as they may not apply to you.

By submitting a photo or video, you agree to defend, indemnify and hold harmless Sponsor and its parent and affiliates and their directors, officers, employees from any liability whatsoever (including claims by any third-party) for any injuries, losses, costs, expenses, or damages of any kind (including without limitation, all direct, indirect, incidental, special, punitive, exemplary, or consequential losses, including lost revenues, profits or good will, all penalties, and all attorney’s fees, disbursements and costs of suit) arising or resulting from or related to the Submission, downloading of a photograph or video, Sponsor’s or its affiliates’ use of any photograph, video or Submission or Submission information, breach of the Terms and Conditions, or as a result of your participation in the Promotion or on the Website.

By submitting a photograph or video, you consent to the jurisdiction and venue of the federal, state and local courts located in Hennepin County, Minnesota and agree that all questions concerning the construction and interpretation of these Terms and Conditions, your rights and obligations and the rights and obligations of Sponsor in connection with any submission shall be governed by and construed by the laws of the State of Minnesota, without giving effect to any choice of law or conflict of law rules.
